These Terms and Conditions govern your use of Marketing Bugs' website and services. By engaging our services or using our website, you agree to these terms. Please read them carefully before proceeding.
Important: These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client” or “User”) and Marketing Bugs Digital Agency (“Marketing Bugs”, “we”, “us”, or “our”), a digital marketing agency registered and operating from Rohini, Delhi, India. By using our website at marketingbugs.in or engaging our services, you accept these Terms in full.
01 Acceptance of Terms
By accessing our website, submitting an enquiry, requesting a free audit, signing a service agreement, or using any of Marketing Bugs' services, you confirm that you:
- Have read, understood, and agree to be bound by these Terms and our Privacy Policy
- Are at least 18 years of age and have the legal capacity to enter into binding agreements
- Are authorised to act on behalf of the company or organisation you represent, if applicable
- Agree that these Terms govern all future interactions and service engagements with Marketing Bugs
If you do not agree to these Terms in their entirety, you must immediately cease using our website and services. These Terms apply in addition to any specific service agreement or statement of work signed between you and Marketing Bugs.
02 Services
Marketing Bugs provides a range of digital marketing and related services to businesses across India and internationally. The specific scope, deliverables, timelines, and fees for any engagement are governed by a separate Service Agreement or Statement of Work (SOW) agreed upon between the parties prior to commencement.
Services Offered Include
- Search Engine Optimisation (SEO) and Content Marketing
- Google Ads management (Search, Display, Shopping, YouTube, Performance Max)
- Meta Ads management (Facebook and Instagram advertising)
- Social media marketing and content creation
- Email marketing and WhatsApp marketing automation
- Brand identity design and visual systems
- Website development, WordPress, and Shopify development
- Analytics setup, reporting, and Conversion Rate Optimisation (CRO)
- Lead generation and performance marketing campaigns
Service Modifications
Marketing Bugs reserves the right to modify, suspend, or discontinue any service offering at any time with reasonable notice. Existing service agreements will be honoured for their stated duration unless mutually modified in writing. Any changes to scope, deliverables, or fees during an engagement must be agreed upon in writing via a Change Order.
Performance Disclaimer: While Marketing Bugs is committed to delivering measurable results, specific outcomes such as search rankings, ROAS, follower growth, or lead volumes cannot be guaranteed. Digital marketing results depend on multiple variables including market conditions, client cooperation, budget, and platform algorithm changes beyond our control. All case studies and past performance data are indicative and not a guarantee of future results.
03 Client Obligations
To enable Marketing Bugs to deliver services effectively, clients agree to fulfil the following obligations throughout the engagement:
Access and Approvals
- Provide timely access to required platforms including Google Ads, Google Analytics, Meta Business Manager, website CMS, and social media accounts
- Appoint a single authorised point of contact with decision-making authority for approvals
- Review and approve (or provide feedback on) creative assets, strategies, and reports within agreed turnaround times (typically 48–72 business hours)
- Attend scheduled strategy calls and review meetings
Information Accuracy
- Provide accurate, complete, and up-to-date information about your business, products, target audience, and competitive landscape
- Inform Marketing Bugs promptly of any business changes, promotions, product launches, or events that may affect marketing strategy
- Ensure all business information, claims, and marketing materials comply with applicable Indian laws and regulations, including the Consumer Protection Act and Advertising Standards Council of India (ASCI) guidelines
Ad Spend and Budget
- Maintain sufficient advertising budget in agreed ad accounts (Google Ads, Meta Ads) throughout the campaign period
- Provide timely top-ups to ad accounts when balances fall below agreed thresholds
- Understand that ad spend paid directly to platforms (Google, Meta) is separate from Marketing Bugs management fees and is non-refundable by Marketing Bugs
Delays caused by client non-responsiveness, late approvals, failure to provide access, or insufficient ad budget are not the responsibility of Marketing Bugs and may affect campaign performance and delivery timelines without entitling the client to any refund or fee reduction.
04 Payment Terms
All fees for Marketing Bugs services are as specified in the relevant Service Agreement or proposal. The following general payment terms apply unless otherwise stated in writing:

| Setup / Onboarding Fee | 100% advance, non-refundable, payable prior to commencement of work. |
| Ad Spend (Google / Meta) | Paid directly by client to ad platforms. Separate from management fees. Marketing Bugs is not responsible for platform charge disputes. |
| Late Payment | Services may be paused if payment is overdue by more than 7 days. A late fee of 2% per month may be applied on outstanding amounts. |
| Currency | All fees are in Indian Rupees (INR) unless explicitly stated otherwise. Applicable GST will be added to all invoices. |
Refund Policy
- Monthly retainer fees are non-refundable once the service period has commenced
- Advance payments for ongoing services are refundable on a pro-rata basis if Marketing Bugs is unable to commence the agreed services within 14 days of the expected start date
- Setup fees are strictly non-refundable as they cover immediate resource allocation and onboarding work
- Ad spend paid to Google or Meta platforms is subject to those platforms' own refund policies and is outside Marketing Bugs' control
Marketing Bugs issues GST-compliant invoices for all services. Our GSTIN is available on request. Clients requiring formal tax invoices should notify us at the time of onboarding.
05 Intellectual Property
Client's Pre-Existing IP
All intellectual property owned by the client prior to engagement with Marketing Bugs, including brand assets, logos, product images, and business content, remains the exclusive property of the client. The client grants Marketing Bugs a limited licence to use such materials solely for the purpose of delivering the agreed services.
Work Product and Deliverables
Upon receipt of full payment for the relevant service period or project:
- Creative deliverables (ad creatives, social media content, graphic designs, brand identity elements, website designs) commissioned and paid for by the client become the property of the client
- Strategic frameworks, proprietary processes, campaign methodologies, and internal tools developed by Marketing Bugs remain the exclusive intellectual property of Marketing Bugs, regardless of whether they were developed during a client engagement
- Website and code deliverables developed for the client transfer to the client upon full payment and handover
Marketing Bugs' Website and Content
All content on marketingbugs.in, including but not limited to text, graphics, logos, case studies, blog content, and marketing materials, is the exclusive property of Marketing Bugs Digital Agency and is protected by Indian and international copyright law. You may not reproduce, distribute, or create derivative works from our website content without prior written permission.
Portfolio and Case Study Rights
Marketing Bugs reserves the right to feature completed work and client results in our portfolio, website, social media, and marketing materials unless the client specifically requests confidentiality in writing prior to project commencement. Client names and brand identifiers may be used in case studies with permission.
06 Confidentiality
Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement. "Confidential Information" includes business strategies, financial data, customer lists, trade secrets, proprietary processes, and any information marked as confidential.
Obligations
- Neither party shall disclose Confidential Information to any third party without prior written consent, except to employees or contractors who need it to deliver the services and are bound by equivalent confidentiality obligations
- Both parties shall use Confidential Information solely for the purposes of performing their obligations under these Terms
- These obligations survive termination of the service agreement for a period of 3 years
Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without reference to confidential information; or (d) is required to be disclosed by law or court order.
07 Limitation of Liability
To the maximum extent permitted by applicable law, Marketing Bugs' total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Marketing Bugs in the three (3) months immediately preceding the event giving rise to the claim.
Marketing Bugs Shall Not Be Liable For
- Any indirect, incidental, special, consequential, or punitive damages including lost profits, lost revenue, or loss of business opportunity
- Results or outcomes of advertising campaigns on third-party platforms (Google, Meta, LinkedIn) including platform outages, policy changes, algorithm updates, or ad account suspensions by those platforms
- Losses arising from client's failure to fulfil obligations under these Terms or a Service Agreement
- Any claims related to content provided by the client that infringes third-party intellectual property, violates applicable law, or makes false claims
- Loss or corruption of data held on third-party platforms or resulting from third-party service failures
- Delayed results caused by external factors including search engine algorithm updates, market conditions, or competitor activity
Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such cases, our liability will be limited to the minimum extent permitted by applicable law.
08 Disclaimers
No Guarantee of Results
Marketing Bugs makes no guarantee of specific rankings, traffic levels, leads, ROAS, follower counts, or revenue outcomes. All projections and case studies are indicative. Digital marketing outcomes are influenced by factors outside our control including platform algorithm changes, competitive activity, market conditions, seasonality, and client-side factors.
Third-Party Platforms
Marketing Bugs is not affiliated with Google, Meta, LinkedIn, or any other advertising or social media platform. We are an independent service provider. Third-party platforms may change their policies, algorithms, ad formats, pricing, or availability at any time. Such changes may affect campaign performance and are outside Marketing Bugs' control and liability.

The content on marketingbugs.in is provided for informational purposes only. While we endeavour to keep information accurate and up to date, we make no warranty, express or implied, regarding the accuracy, completeness, or fitness for any particular purpose of any content on our website.
Professional Advice
Content published on our website, including blog posts, guides, and case studies, is for general informational purposes only and does not constitute professional legal, financial, or regulatory advice. 09 Termination
Termination by Client
Clients may terminate a monthly retainer service by providing 30 days' written notice via email to hello@marketingbugs.in. Notice periods for project-based engagements are specified in the relevant Service Agreement. No refund will be issued for the notice period or any paid service month already commenced.
Termination by Marketing Bugs
Marketing Bugs reserves the right to terminate any service engagement with immediate effect and without liability if:
- The client fails to make payment within 14 days of the due date
- The client requests activities that violate applicable law, advertising platform policies, or our ethical standards
- The client engages in abusive, threatening, or harassing behaviour toward Marketing Bugs team members
- Continuing the engagement creates legal, reputational, or ethical risk for Marketing Bugs
- The client materially breaches these Terms or the Service Agreement and fails to remedy such breach within 7 days of written notice
Effect of Termination
- All access to client platforms granted to Marketing Bugs will be revoked by the client within 7 days of termination
- Marketing Bugs will provide all completed work and relevant data to the client within 14 days of termination
- All outstanding fees remain due and payable regardless of the reason for termination
- Confidentiality obligations survive termination as described in Section 6
10 Prohibited Use
You agree not to use Marketing Bugs' website or services for any unlawful, harmful, or prohibited purpose. The following uses are strictly prohibited:
- Requesting campaigns that promote illegal products or services under Indian law
- Using our services to create, distribute, or promote content that is defamatory, obscene, fraudulent, or violates any third party's rights
- Attempting to gain unauthorised access to our systems, client accounts, or data
- Using our services to spread misinformation, hate speech, or content that violates Indian law or international standards
- Reselling, white-labelling, or sub-licensing our services to third parties without prior written consent
- Providing false or misleading information in any communication with Marketing Bugs
- Interfering with the normal functioning of our website through technical attacks, scraping, or automated tools
Marketing Bugs reserves the right to refuse or immediately terminate services to any client found engaging in prohibited use without refund.
11 Indemnification
You agree to indemnify, defend, and hold harmless Marketing Bugs, its founders, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms or any Service Agreement
- Your violation of any applicable law, regulation, or third-party rights
- Content, materials, or information you provide to Marketing Bugs for use in campaigns or deliverables
- Your use of our website or services in a manner not authorised by these Terms
- Claims brought by your customers, partners, or third parties arising from marketing materials we created based on your instructions and approved by you
12 Governing Law & Dispute Resolution
These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.
Dispute Resolution Process
- Good Faith Negotiation — Parties shall first attempt to resolve any dispute through good faith discussions within 30 days of written notice of the dispute
- Mediation — If negotiation fails, parties agree to attempt resolution through a mutually agreed mediator in Delhi within 30 days
- Arbitration — If mediation fails, disputes shall be resolved by binding arbitration in Delhi under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English
- Courts — For matters not suitable for arbitration or requiring urgent interim relief, the exclusive jurisdiction shall vest in the courts of Delhi, India
The exclusive jurisdiction for any legal proceedings arising from these Terms shall be the courts of Delhi, India. By engaging Marketing Bugs, you consent to personal jurisdiction in Delhi courts.
13 Amendments & Severability
Amendments
Marketing Bugs reserves the right to amend these Terms at any time. Material changes will be communicated by updating the “Last Updated” date on this page and, where appropriate, by email notification to active clients. Your continued use of our website or services after the effective date of any amendment constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
Entire Agreement
These Terms, together with our Privacy Policy and any signed Service Agreement or Statement of Work, constitute the entire agreement between you and Marketing Bugs with respect to the subject matter herein, and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.
Waiver
Marketing Bugs' failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be made in writing and signed by an authorised representative of Marketing Bugs.
